Transact Risk Partners (“TRP”) – part of Ryan Specialty Underwriting Managers International – is a managing general agency specializing in warranty and indemnity insurance (W&I) for M&A transactions and global tax risk insurance.

TRP offers tailored W&I solutions primarily focused on mergers and acquisitions (M&A) within the Benelux, France, DACH, CEE, and Singapore. TRP understands that M&A processes, conventions, and transaction risks differ from region to region, and therefore its underwriting approach reflects this.

For the Benelux M&A insurance team of TRP in Amsterdam we are recruiting a M&A Specialist to assess and advise on Benelux M&A transactions. We are looking for a M&A lawyer or professional wanting to make the move to a more commercial and entrepreneurial environment.

Description of the Function

As an M&A Specialist at TRP, you will be responsible for evaluating and underwriting a portfolio of M&A transactions, ensuring that its clients receive the most comprehensive and tailored insurance solutions. Your role will involve close collaboration with brokers, legal advisors, and clients to underwrite M&A transactions, assess transaction related risks, continue to develop the W&I product and Transact brand, and manage claims.

Key Responsibilities:

For the largest part of the work you conduct thorough due diligence and risk assessment for M&A transactions on a 360° view basis (i.e. including from a legal, financial and tax perspective);
Prepare quotes and pricing indications for brokers/clients interested in insuring M&A transactions;
Underwrite W&I policies, ensuring terms are competitive and meet clients’ needs;
Negotiate policy terms and conditions with commercially and legally sophisticated brokers, advisors and clients;
Develop and maintain strong relationships with brokers, lawyers, clients, and other stakeholders;
Monitor and manage a portfolio of M&A insurance policies;
Provide expert advice and support to clients and internal teams regarding transactional insurance solutions;
Stay updated on market trends, developments and industry best practices;
Participate in business development activities to promote TRP’s services.

Profiel

around 3 to 7 years of legal experience
experience as a M&A lawyer or professional is preferred
proficient in drafting and negotiating legal and commercial documents
ability to work independently with high attention to detail
enthusiastic, committed team player
fluent in Dutch and English, written and orally, is preferred
